Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HowPha ("Company", "we", "us", or "our") governing your access to and use of the HowPha mobile application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 13 years of age, have the legal capacity to enter into this agreement, and agree to these Terms and our Privacy Policy.

2. Your Account

To use most features of HowPha, you must create an account. You are responsible for:

• Providing accurate and complete information when registering
• Maintaining the security and confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use at security@howpha.com

You may not create more than one account per person or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Content You Post

You retain ownership of the content you create and post on HowPha. By posting content, you grant HowPha a worldwide, non-exclusive, royalty-free licence to use, display, distribute, and promote your content within the Service.

You are solely responsible for your content. You confirm that:

• You own or have the right to post the content
• Your content does not infringe any third-party intellectual property rights
• Your content complies with our Community Guidelines
• You have obtained any necessary consents from people featured in your content

4. Community Guidelines

HowPha is a platform for creative expression. To keep it safe and enjoyable for everyone, the following content is strictly prohibited:

• Nudity, sexual content, or content that exploits minors in any way
• Hate speech, harassment, bullying, or threats of violence
• Content that promotes or glorifies self-harm, suicide, or eating disorders
• Misinformation, deepfakes, or deceptive content intended to mislead
• Spam, pyramid schemes, or unsolicited promotional content
• Content that violates any applicable laws or regulations
• Impersonation of any person, brand, or organisation
• Content depicting or promoting illegal activities

5. Virtual Gifts and Coins

HowPha offers a virtual currency system ("Coins") that can be used to send virtual gifts to creators.

• Coins are purchased with real money and are non-refundable once acquired
• Coins have no monetary value outside of HowPha and cannot be exchanged for cash by buyers
• Creators receive a portion of gift value as earnings, subject to our creator payout terms
• We reserve the right to modify coin pricing or gift values at any time
• Unused coins are forfeited if your account is terminated for violating these Terms

6. Creator Earnings and Withdrawals

Creators may earn money through gifts, ad revenue sharing, and other monetisation features. The following terms apply:

• Earnings are subject to our platform fee, which is disclosed in the app at the time of withdrawal
• Minimum withdrawal amount and processing times are displayed in the app
• You are responsible for reporting and paying any applicable taxes on your earnings
• We reserve the right to withhold earnings pending investigation of suspected fraud or policy violations
• Withdrawals are processed via Flutterwave to Nigerian bank accounts only at this time
• We are not liable for delays caused by your bank or payment processor

7. Advertising

HowPha offers an advertising platform for businesses. Advertisers agree that:

• All ad content must comply with our Community Guidelines and applicable advertising laws
• Ad budgets are non-refundable once a campaign has started running
• We reserve the right to reject or remove any ad that violates our policies
• Ad performance data is provided for informational purposes and is not guaranteed

8. Intellectual Property

HowPha and all its original content, features, and functionality are owned by HowPha and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the HowPha app or its code
• Use HowPha's name, logo, or branding without written permission
• Reverse engineer or attempt to extract source code from the app
• Use automated tools to scrape or harvest content from HowPha

9. Prohibited Uses

In addition to content restrictions, you may not use HowPha to:

• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited messages or spam
• Circumvent any technological measures we use to protect the Service
• Use the Service for any unlawful purpose or in violation of any regulations
• Create fake accounts or artificially inflate follower counts or engagement

10. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.

You may delete your account at any time from the app Settings. Upon termination:

• Your right to use the Service ends immediately
• Your content will be removed from public view
• Any pending earnings will be paid out if they meet the minimum threshold; otherwise they are forfeited
• These Terms remain in effect for any prior use of the Service

11. Disclaimers

HowPha is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any content on the platform is accurate, complete, or reliable
• The Service will meet your specific requirements

12. Limitation of Liability

To the maximum extent permitted by law, HowPha shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved in the courts of Nigeria.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via the app or email. Your continued use of HowPha after changes take effect constitutes acceptance of the updated Terms.
